Terms
How we work together on ownership, licences, AI and data. Last updated 18 October 2026.
What this page is
These are the basic rules we follow when we work with you, so both sides know what to expect before work begins. If we have signed an agreement with you, that agreement comes first; these terms cover only what it does not. We wrote them ourselves, in plain English, rather than through a lawyer.
Ownership and your licence
We own the designs, code, templates and writing we make for you, and you receive a licence to use them for the purpose they were made for. The licence lasts as long as the engagement and any agreed support or subscription stay in good standing.
You may use the work, change it, use it in your business and ask another team to work on it. If you ever move on, we will make the handover as smooth as we can.
We ask you not to:
- sell it, sublicense it or give it to someone else as their own product
- use it on another website or domain, or on a copy of the original, without asking us first
- share it as a template or theme for others to install
- remove our licence notice from the code
A website is licensed for the domain we built it for. If you would like it on another, ask us about a second licence.
We remain the creators of what we make, as a painting stays its artist’s wherever it hangs. You agree never to present it as your own creation or anyone else’s. Your licence is yours alone and cannot be transferred, and the work cannot be resold, reused for another business or turned into new products unless we agree in writing.
Your brand, content, photographs and data belong to you, and we make no claim on them. Where we designed them, we remain their creators.
Fonts, stock images, plugins and libraries are licensed by the people who make them, and those licences apply to you directly. While you work with us, some may run on our own developer licences; if you move on, you will need your own, and we will tell you which are in your name and which are ours.
Our use of AI
AI is a tool, and a person answers for the work. Whatever tools go into a piece of work, the person on our team who did it is responsible for it.
Your data
If you are a business client, you are responsible for your data. Unless a maintenance or hosting agreement with us says otherwise, we do not keep a copy of your website, database or files, so do not rely on us as a backup. If you are unsure what your agreement covers, ask us.
If you use one of our apps, we keep your data while your account is active, and you can ask for a copy at any time. Ask before the service ends: after that we may no longer have it.
These terms do not affect your rights over your personal data. Our privacy page sets them out.
This site
We keep this site accurate and correct anything we find wrong, but we cannot promise every detail is current at every moment or that the site is always available. Nothing on it is an offer, a quotation or advice to act on before talking to us.
Which law applies
We work under the laws of Nepal. These terms, and any dispute about them or about your use of this site, are governed by Nepali law, with the courts of Kathmandu having jurisdiction. This does not take away any rights you hold where you live.
Changes
When something changes, we update this page and the date at the top. The version that applies to you is the one in force when we agreed to work together, unless your agreement says otherwise. Questions: hello@idealaya.com.
